Overview

We are seeking an experienced Contract & Risk Management Paralegal to support our construction and engineering operations. This role manages owner contracts, subcontractor agreements, lien waivers, insurance compliance, and related contract-risk processes while partnering with Operations, Project Management, Accounting, Risk Management, and legal counsel. This position would report to our Derwent, Ohio office Monday-Friday. 

Responsibilities

  • Review, prepare, negotiate, track, and maintain owner contracts, subcontracts, consulting agreements, amendments, lease agreements, non-disclosure agreements, purchase orders, change orders, and related project documents.
  • Review owner agreements for payment, indemnification, insurance, warranty, schedule, termination, dispute resolution, and other risk-allocation provisions; elevate high-risk terms to management or legal counsel.
  • Administer AIA agreements and forms, including owner contracts, general conditions, payment applications, change orders, and supporting documentation.
  • Ensure subcontract terms appropriately flow down applicable obligations from owner and prime contracts.
  • Manage conditional, unconditional, partial, and final lien waivers; coordinate documentation with Accounts Payable and project teams before payment.
  • Review Certificates of Insurance and required endorsements; track expirations, renewals, and deficiencies for subcontractors, vendors, and consultants.
  • Verify contract compliance for Commercial General Liability, Professional Liability / Errors & Omissions, Workers Compensation, Automobile Liability, Umbrella / Excess Liability, Additional Insured, Waiver of Subrogation, and Primary & Non-Contributory requirements.
  • Maintain accurate, organized, and audit-ready contract and compliance records; support claims, disputes, audits, and litigation preparation.
  • Administer subcontractor pre-qualification process to ensure qualified subcontractors are utilized.
  • Help improve contract administration, approval, and risk-management processes across the organization.

Qualifications

  • Associate or Bachelor degree in Paralegal Studies, Legal Studies, Business, Construction Management, or a related field.
  • Paralegal certification preferred.
  • 5+ years of relevant experience in construction, engineering, industrial contracting, or commercial contract administration.
  • Working knowledge of construction contracts, AIA forms, lien waivers, insurance requirements, and Certificates of Insurance.
  • Experience reviewing both owner agreements and subcontractor contracts.
  • Strong analytical, organizational, negotiation, and written communication skills. ·
  • Ability to manage multiple priorities and communicate contract requirements clearly to operational teams.

Other: Protects the company from contractual, financial, and insurance-related risk while enabling timely project execution and payment compliance.
